Terms of Service

1. Acceptance of Terms
These Terms of Service govern your access to and use of DealerDesk. By creating an account, starting a trial or using the platform, you confirm that you have read, understood and agreed to these Terms.
If you are using DealerDesk on behalf of a dealership or other organisation, you confirm that you have authority to accept these Terms on its behalf.
2. DealerDesk Services
DealerDesk is a web-based dealership management platform designed to help vehicle dealerships manage inventory, customers, sales, expenses, commissions, reports, users and related business records.
Features may be improved, replaced or removed as the platform develops. We will try to give reasonable notice where a significant change may materially affect normal use of the service.
3. Accounts and Access
Each dealership is responsible for maintaining accurate account information and controlling access to its Owner, Admin and Staff accounts.
- Login credentials must be kept confidential.
- Users must not share passwords with unauthorised persons.
- The dealership is responsible for activity performed through its accounts.
- Suspected unauthorised access should be reported immediately.
4. Free Trials
DealerDesk may offer a free trial for a stated period. The standard trial advertised on the website is currently 14 days, although the duration may vary during promotions or special onboarding arrangements.
Trial access may end automatically when the applicable trial period expires. A paid subscription may be required to continue using the platform after the trial.
5. Subscriptions and Payments
DealerDesk subscriptions are billed according to the price and billing period communicated when the dealership subscribes.
At launch, subscription payments may be processed manually through M-Pesa or another approved payment method. Automated payment options may be introduced later.
- Subscription fees must be paid by the applicable due date.
- Payments are confirmed after verification by DealerDesk.
- Prices may change with reasonable advance notice.
- Failure to pay may result in restricted or suspended access.
6. Grace Period and Suspension
DealerDesk may provide a grace period after a subscription expires. The standard grace period is currently seven days, but this may be changed or granted at DealerDesk's discretion.
Once the trial, subscription and any applicable grace period have expired, access to the account may be restricted until payment or another arrangement is confirmed.
We may also suspend or deactivate an account where there is suspected fraud, unlawful activity, misuse of the platform, a security risk or a serious breach of these Terms.
7. Dealership Data
The dealership retains ownership of the business information it enters into DealerDesk, including vehicle, customer, sales, expense and report information.
The dealership gives DealerDesk permission to host, process, back up and display that information only as necessary to operate, secure, support and improve the service.
Each dealership is responsible for ensuring that it has a lawful basis to collect and enter customer or employee information into DealerDesk.
8. Data Retention and Account Closure
Suspension does not necessarily result in immediate deletion of account data. DealerDesk may retain information for a reasonable period to allow account recovery, meet legal obligations, resolve disputes or maintain security records.
Unless a longer period is required by law or agreed separately, suspended account data may be deleted after 90 days. Dealerships should export important records before requesting account closure.
9. Acceptable Use
Users must not:
- Use DealerDesk for unlawful, fraudulent or misleading activities.
- Attempt to access another dealership's information.
- Upload malicious software or interfere with platform security.
- Reverse engineer, copy or resell the platform without permission.
- Use automated tools in a way that disrupts the service.
- Misrepresent their identity or authority within a dealership.
10. Intellectual Property
DealerDesk and its software, branding, designs, documentation and underlying technology remain the property of DealerDesk or its licensors.
A subscription gives the dealership a limited, non-exclusive, non-transferable right to use the platform during an active trial, subscription or authorised grace period.
11. Availability and Support
DealerDesk aims to provide a reliable service but does not guarantee uninterrupted or error-free availability. Access may occasionally be affected by maintenance, updates, hosting providers, internet failures, power interruptions or circumstances outside our reasonable control.
Setup assistance, onboarding and support are provided within the scope communicated to the dealership. Feature requests may be considered but are not guaranteed.
12. Backups
DealerDesk may maintain system backups and provide backup or export tools. However, no backup system can guarantee that information will never be lost or corrupted.
Dealerships should regularly export and retain copies of important business records where appropriate.
13. Limitation of Liability
To the extent permitted by applicable law, DealerDesk will not be liable for indirect, incidental or consequential loss arising from use of the platform, including lost profits, lost opportunities or loss caused by inaccurate information entered by users.
DealerDesk is a management tool and does not replace professional accounting, tax, legal or financial advice. Each dealership remains responsible for its business decisions and statutory obligations.
14. Termination
A dealership may stop using DealerDesk or request closure of its account. Outstanding fees remain payable where applicable.
DealerDesk may terminate access for serious or repeated breaches of these Terms, unlawful activity, security threats or continued non-payment.
15. Changes to These Terms
These Terms may be updated as DealerDesk develops or as legal and operational requirements change. The latest version will be published on this page with an updated effective date.
16. Governing Law
These Terms are governed by the laws of Kenya. The parties should first attempt to resolve disputes in good faith before pursuing available formal remedies.
